These Terms and Conditions explain the rules for using Algorsoft’s website, digital services, communications, proposals, and related business interactions. By accessing algorsoft.com, submitting a form, requesting a quote, booking a consultation, or engaging with Algorsoft, you agree to these Terms.
algorsoft.com is the primary website for Algorsoft. algorsoft.net may be used for marketing campaigns, email outreach, tracking links, or campaign landing activity connected to Algorsoft. These Terms apply to both domains and to official communications sent by or on behalf of Algorsoft.
1. Definitions

2. Use of the Website

You agree not to misuse the Website, interfere with its security, copy protected materials without permission, submit false information, upload harmful code, scrape the Website in an abusive manner, or use the Website for fraudulent, misleading, or unlawful activity.
We may restrict, suspend, or block access to the Website if we believe a user is violating these Terms, creating security risks, abusing our systems, or using our content or services in a harmful manner.
3. Services, Proposals, and Project Scope
Algorsoft may provide consultations, estimates, quotations, proposals, statements of work, invoices, service agreements, or project plans. Any service engagement is governed by the specific written agreement, proposal, invoice, or statement of work accepted by the Client. If a separate agreement conflicts with these Terms, the separate written agreement controls for that specific project.
- Project timelines, deliverables, pricing, revisions, milestones, and support terms must be confirmed in writing.
- A quote or proposal is not a binding commitment until accepted by the Client and confirmed by Algorsoft.
- Changes outside the agreed scope may require additional fees and updated timelines.
- Delays caused by missing client content, third-party issues, access limitations, payment delays, or approval delays may affect delivery dates.
- Algorsoft may refuse or discontinue work that involves illegal activity, deceptive practices, spam abuse, malware, exploitation, harassment, or violation of third-party rights.
4. Payments, Invoices, and Late Payments
Payment terms are stated in the relevant proposal, invoice, agreement, or checkout process. Unless otherwise agreed in writing, payments are due according to the invoice due date. Work may be paused if payments are late, disputed without reasonable basis, or incomplete.
- Deposits, setup fees, retainers, and milestone payments may be non-refundable once work has started.
- Recurring services may be billed monthly, annually, or according to the agreed billing cycle.
- Third-party costs such as hosting, domains, plugins, APIs, paid tools, ad spend, SaaS subscriptions, stock assets, or licenses are usually the Client’s responsibility unless stated otherwise.
- Chargebacks, payment reversals, or unpaid invoices may result in suspension of services, removal of access, or collection action where legally permitted.
5. Refunds and Cancellations
Refunds depend on the type of service, work completed, third-party costs incurred, and the written terms agreed for the project. Custom work, consultation time, completed milestones, purchased licenses, third-party fees, emergency work, and approved deliverables are generally not refundable.
Clients may request cancellation by contacting us at contact@algorsoft.com. Cancellation does not remove responsibility for amounts already due, completed work, committed third-party costs, or fees stated as non-refundable in a proposal or invoice.
6. Client Responsibilities
The Client is responsible for providing accurate information, required access, approvals, brand assets, content, credentials, business requirements, and legal compliance instructions necessary to complete the requested work.
- The Client must have legal rights to all content, logos, images, data, software, accounts, and materials provided to Algorsoft.
- The Client is responsible for reviewing and approving final content, website copy, policies, forms, pricing, product details, claims, and legal notices before publication.
- The Client must keep login credentials secure and promptly revoke access when no longer needed.
- The Client must comply with all applicable laws related to its business, customers, advertising, email marketing, data privacy, accessibility, industry regulations, and consumer protection.
7. Intellectual Property
All Website content, designs, code, graphics, text, documentation, processes, workflows, templates, systems, and brand materials created or owned by Algorsoft remain the property of Algorsoft unless transferred through a written agreement.
For paid client projects, ownership of final approved deliverables may transfer to the Client only after full payment is received and only to the extent stated in the relevant written agreement. Algorsoft may retain ownership of pre-existing tools, reusable code, frameworks, internal processes, know-how, concepts, libraries, templates, and non-client-specific materials.
Unless a Client requests confidentiality in writing, Algorsoft may display completed public-facing work in portfolios, case studies, proposals, social media, or marketing materials, provided that confidential information is not disclosed.
8. Website Content and Accuracy
We work to keep the Website accurate and current, but we do not guarantee that all content is complete, error-free, or always up to date. Website information is provided for general business and informational purposes and should not be treated as legal, financial, tax, security, or professional advice.
9. Third-Party Tools and Platforms
Our services may involve third-party platforms such as hosting providers, WordPress, HubSpot, Google, Microsoft, Meta, payment processors, APIs, analytics tools, CRM systems, email platforms, security tools, cloud providers, automation tools, and other software vendors.
- Third-party services are governed by their own terms, pricing, uptime, privacy practices, and support policies.
- Algorsoft is not responsible for outages, policy changes, account suspensions, billing changes, bugs, security incidents, or limitations caused by third-party platforms.
- The Client is responsible for maintaining active subscriptions, licenses, and proper account ownership for third-party tools unless otherwise agreed in writing.
10. Marketing Communications
By submitting a form, requesting information, downloading a resource, booking a meeting, or contacting Algorsoft, you may receive service-related communications and, where legally permitted, marketing communications. You can opt out of marketing emails using the unsubscribe link or by contacting contact@algorsoft.com. Transactional, billing, security, and service-related messages may still be sent where necessary.
11. Privacy and Data Safety
Our handling of personal information is explained in our Privacy Policy and Data Safety Policy. By using the Website or Services, you acknowledge that we may collect, process, store, and protect information as described in those policies.
12. Security
We use reasonable technical and organizational measures to protect our Website and business systems. However, no website, email system, cloud platform, or internet transmission can be guaranteed to be completely secure. You are responsible for using secure passwords, protecting your accounts, and notifying us promptly about suspected unauthorized access related to a project or communication.
13. No Guarantees
Algorsoft does not guarantee specific business outcomes, search engine rankings, ad performance, sales results, traffic levels, revenue increases, platform approvals, lead volume, conversion rates, uptime, or security outcomes unless expressly stated in a signed written agreement.
14. Limitation of Liability
To the maximum extent permitted by law, Algorsoft will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, business opportunities, or system availability. Our total liability for any claim related to the Website or Services will not exceed the amount paid by the Client to Algorsoft for the specific service giving rise to the claim during the three months before the claim arose, unless applicable law requires otherwise.
15. Indemnification
You agree to defend, indemnify, and hold harmless Algorsoft, its team members, contractors, partners, and representatives from claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the Website, violation of these Terms, violation of law, infringement of third-party rights, or materials and instructions you provide to Algorsoft.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, United States, unless applicable law requires a different governing law. Before filing any formal claim, both parties agree to attempt to resolve disputes in good faith through written communication. If a dispute cannot be resolved informally, it may be brought in the appropriate courts located in or serving Hillsborough County, Florida, unless another venue is required by applicable law.

We may update these Terms from time to time. The updated version will be posted on the Website with a revised “Last Updated” date. Continued use of the Website or Services after updates means you accept the revised Terms.
